TERMS AND CONDITIONS 

These terms and conditions apply to the purchase of a membership in The First Run Club – a membership-based benefits program for customers of Routes Outfitter LLC (referred to as the "membership").  By purchasing a membership in the First Run Club, you agree to be bound by and accept these terms and conditions. These terms and conditions are subject to change by Routes Outfitter LLC (referred to as "us" or "we") without prior written notice at any time.  The latest version of the terms and conditions will be posted on www.routesoutfitter.com, and you should review these terms and conditions prior to purchasing any product and services that are available through use of this membership.  

1.     Definitions

a) Bonus Items – are offers of value such as discounts off of purchases, or free basic services provided by Routes Outfitter, LLC. Bonus Items may activate within a time period defined by package details, otherwise, Bonus Items are active based on Membership Years.

b) Customer – a person who purchases merchandise or services from, or engages in, branded and produced experiences with Routes Outfitter, LLC, its affiliates, and/or its employees.

c) First Run Club (FRC) – a club for early, or initial, Customers to join in support and benefit of Routes Outfitter, LLC by purchasing FRC Membership Packages of value that include special Store-Branded “First Run” Merchandise and Bonus Items in exchange for their participation in a FRC Membership Package.

d) FRC Member – A Customer who has purchased a Package defined within the First Run Club.  Only by purchasing a FRC Package can a Customer be considered an FRC Member.

e) FRC Packages – A grouping of defined Store-Branded “First Run” Merchandise and Bonus Items that create a package of value to a Customer.

f) Membership Year – is the twelve (12) month period starting from the date of the purchase of Customer’s FRC membership. 

g) Store-Branded “First Run” Merchandise – useful items of value bearing the name and/or logo of Routes Outfitters, LLC and/or “First Run” labeling or graphics.

2.     First Run Club Packages (FRC Packages)

Packages are listed in “Wave” levels based on the value of each package.  

Customers may purchase as many FRC Packages as may be desired.  First Run Items will be delivered in accordance with the description for each particular package.  Bonus Items may not be compounded. Only one Bonus Item will be applied to each FRC Member. The highest valued Bonus Item will be applied to FRC Members who may purchase multiple FRC Packages.

Below are the FRC Packages available and their respective cost to purchase:

• Wave 5 Member ($40.00)

  • Choice of one (1) First Run Item – Shirt, Hat, or Water Bottle

  • Bonus Item:

    • One (1) 15% off coupon for a single purchase (Excludes new or used bicycle purchases.)

• Wave 4 Member ($80.00)

  • Choice of two (2) First Run Items - Shirt, Hat, or Water Bottle

  • Bonus Item:

    • One (1) 30% off coupon for a single purchase, bike services, and bike demos/rentals (Excludes new or used bicycle purchases.)

• Wave 3 Member ($150.00)

  • First Run Items include a sweatshirt, hat, and Water Bottle.

  • Bonus Item:

    • 1 year perk – 10% off of purchases, bike services, and equipment demos/rentals for the duration of Customer’s first membership year. (Excludes new or used bicycle purchases.)

• Wave 2 Member ($250.00)

  • First Run Items include a t-shirt, sweatshirt, hat and two (2) water bottles

  • Bonus Item:

    • 2 years perk - 10% off of purchases, bike services, and equipment demos/rentals for the duration of Customer’s first two years of membership. (Excludes new or used bicycle purchases.)

• Wave 1 Member ($500)

  • First Run Items include a t-shirt, sweatshirt, hat and two (2) water bottles

  • Store-branded Jacket

  • Bonus Item:

    • 5 years perk - 10% off of purchases, bike services, and equipment demos/rentals for the duration of Customer’s first five years of membership. (Includes one (1) new or used bicycle purchase.)

    • 5 basic bicycle tunes

• Wave Pro ($1,200.00)

  • First Run Items include two (2) t-shirts, two (2) sweatshirts, two (2) hats, and two (2) water bottles

  • Two (2) Store-branded Jackets

  • Bonus Item:

    • Lifetime perk - 10% off of purchases, bike services, and equipment demos/rentals for the lifetime of Customer’s membership. (Limited to one (1) new or used bicycle purchase per Membership Year.)

    • One (1) basic bike tune per Membership Year for the lifetime of Customer’s membership.

3.     Cancellation and Refund Policy

All Memberships are designed to be held by one person, and all associated benefits may only be exercised by that person during the membership term. Memberships are non-transferable and all membership purchases are final, subject to the right of Routes Outfitter, LLC to cancel or terminate a membership in accordance with this Agreement. Routes Outfitter, LLC reserves the right to cancel and terminate a membership at any time and for any reason, effective immediately upon notice. Such reasons may include, but are not limited to, abuse of state or federal related laws, or other reasons that Routes Outfitter, LLC may determine in its sole and absolute discretion are an abuse of the membership benefits. 

4.     Payment Terms and Sales Taxes

We accept Cash, Check, Visa, Master Card, American Express, and Discover Card for all FRC Membership purchases.  You represent and warrant that (a) the credit card information you supply to us is true, correct and complete, (b) charges incurred by you will be honored by your credit card company, and (c) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any.

5.     Advertising Disclaimer and Trademarks

The descriptions of products and services that are posted in association with our FRC Membership are subject to minor changes.  Typographical errors are not binding, and Routes Outfitter, LLC is not liable for such errors.

All trademarks and registered trademarks relating to products and services available through Routes Outfitter, LLC and the FRC Membership are the sole property of Routes Outfitter, LLC or the original manufacturer.  By participating in an FRC Membership, there shall be no license or transfer of any intellectual property rights of Routes Outfitter, LLC or its affiliates or suppliers.

6.     Disclaimer and Limitation of Liability

Our responsibility for defects relating to the products and services available through our FRC Membership is limited to the procedures described in this policy set forth below.  ALL PRODUCTS AND SERVICES AVAILABLE THROUGH THIS MEMBERSHIP ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR THE WARRANT OF NON-INFRINGEMENT.  WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT THE PRODUCTS AND SERVICES AVAILABLE THROUGH THIS MEMBERSHIP WILL MEET YOUR REQUIREMENTS; THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PRODUCTS OR SERVICES WILL BE EFFECTIVE, ACCURATE OR RELIABLE; OR THE QUALITY OF ANY PRODUCTS OR SERVICES WILL MEET YOUR EXPECTATIONS.  SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES SO THE ABOVE DISCLAIMER MAY NOT APPLY TO THE EXTENT SUCH JURISDICTION'S LAW IS APPLICABLE TO YOUR PURCHASE OF PRODUCTS AND SERVICES.

WE DO NOT ACCEPT LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN, INCLUDING ANY LIABILITY FOR PRODUCTS AND SERVICES THAT ARE NOT AVAILABLE FOR USE OR FOR LOST OR CORRUPTED DATA OR SOFTWARE.  IN NO EVENT SHALL ROUTES OUTFITTER LLC OR ITS SUBSIDIARIES, AFFILIATED COMPANIES, AGENTS, SHAREHOLDERS, EMPLOYEES, OR OFFICERS (COLLECTIVELY, OUR "AFFILIATES") HAVE ANY OBLIGATIONS OR LIABILITIES TO YOU OR ANY OTHER PERSON FOR LOSS OF PROFITS, FOR LOSS OF BUSINESS OR USE, OR FOR INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER THEORY OR FORM OF ACTION, EVEN IF WE OR OUR AFFILIATES HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF, ARISING OUT OR IN CONNECTION WITH THE SALE, DELIVERY, USE, REPAIR OR PERFORMANCE OF THE PRODUCTS AVAILABLE THROUGH THIS MEMBERSHIP.  NO EMPLOYEE OR REPRESENTATIVE OF ROUTES OUTFITTER LLC IS AUTHORIZED TO MODIFY THIS LIMITATION.

OUR SOLE AND ENTIRE MAXIMUM LIABILITY (AND THE LIABILITY OF ANY OF THE PROVIDERS OF PRODUCTS AND SERVICES AVAILABLE FROM ROUTES OUTFITTER, LLC), FOR ANY REASON, AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE ACTUAL AMOUNT PAID BY YOU FOR THE PRODUCTS AND SERVICES YOU HAVE ORDERED THROUGH OUR MEMBERSHIP.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT SUCH JURISDICTION'S LAW IS APPLICABLE TO YOUR PURCHASE OF PRODUCTS AND SERVICES.

7.     Privacy and Customer Information

We are committed to protecting your privacy.  To make your experience more convenient, we gather information about you.  We maintain the privacy of your information using security technologies and adhere to policies that prevent unauthorized use of your personal information.  See our Privacy Policy.

At any time you may update your customer account information such as your name, password, billing address, shipping address, e-mail address, telephone number, and credit card information by contacting Routes Outfitter, LLC at contact@routesoutfitter.com.  

8.     Force Majeure

In addition to any excuse provided by applicable law, Routes Outfitter, LLC shall be excused from liability for non-delivery or delay in delivery of products and service available arising from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to, labor disturbance, war, fire, accident, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above.

9.     Entire Agreement

These terms and conditions constitute the entire agreement and understanding between us concerning the subject matter hereof and supersedes all prior agreements and understandings of the parties with respect thereto.  To the extent that anything in or associated with an FRC Membership is in conflict or inconsistent with these terms and conditions, these terms and conditions shall take precedence.

10.     Governing Law and Statute of Limitations

The FRC Membership is controlled by us from our offices within the State of Colorado.  By purchasing an FRC Membership both of us agree that the statutes and laws of the State of Colorado, without regard to the conflicts of laws principles thereof, will apply to all matters relating to the use of this membership and the purchase of products and services available through this membership.  Each of us agrees and hereby submits to the exclusive personal jurisdiction and venue of the Courts of El Paso County and the United States District Court for the District of Colorado with respect to such matters.

Any cause of action brought by you against us or our Affiliates must be instituted with one (1) year after the cause of action arises or be deemed forever waived and barred.
